Forming a trading co-operative

Having determined that a trading co-operative structure is the most desirable for your group, you can take the following steps to form a co-operative:

Step 1. Required Number of Persons

You will need at least five (5) interested people.


Step 2. Documents to be Lodged with CBS

Prepare the following documents in draft form and submit them to Consumer and Business Services with the relevant Forms, at least 28 days before the scheduled formation meeting.

  1. Disclosure Statement (to be submitted with Form 1) (see Circular 5)
  2. Rules of the proposed co-operative (to be submitted with Form 2)

Step 3. Submission of Documents

Complete the approved Forms 1 and 2 and, together with the respective prescribed fees and the draft documents, mail them to Consumer and Business Services.

Step 4. Review by CBS

The draft documents will be then be reviewed by officers of CBS.

Step 5. The Formation Meeting

If your documents are approved by Consumer and Business Services you can hold your formation meeting with as many potential members as possible present. The legal minimum number required is five (5). (See paragraph 16(3)(c) of the Act).

Step 6. After the Formation Meeting

The application for registration (Form 3) accompanied by the statement listing directors' details (Form 3A) must be lodged with CBS, with the prescribed fee, within two (2) months after closure of the formation meeting or within the extended period that CBS may allow. (See section 19(2) of the Act).

Step 7. Registration

Once registered, CBS will issue a certificate of registration to the co-operative.
