A co-operative has the legal capacity to do all of the things that a natural person can such as buying, selling, borrowing, and entering into contracts (similar to the powers of a company).
Contravention of restrictions in rules
An action that is contrary to any restriction or prohibition in the exercise of a power, or an action that is contrary to the objects, contained in a co-operative's rules is not invalid. However, this action creates a contravention by the co-operative and any officer involved in the contravention. The contravention may be relied on in other actions, e.g. proceedings for an offence against the Act or the winding up of the co-operative. (Division 2)
Assumptions of persons dealing with co-operatives
A person is entitled to make certain assumptions in dealings with a co-operative, e.g. that the rules have been complied with and that a director or officer has authority. (Division 3)
